1. Acceptance of Terms
Welcome to MyCollabCircle. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MyCollabCircle ("Company", "we", "our", or "us") governing your access to and use of the MyCollabCircle platform, website, and all related services (collectively, the "Service").
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the platform at least 30 days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
2. Eligibility
To use our Service, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction.
- Have the legal capacity to enter into binding agreements.
- Not be prohibited from using the Service under applicable laws.
- If registering as a brand, have authorisation to bind your organisation to these Terms.
By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Account Registration & Security
3.1 Account Creation
To access certain features, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.
3.2 Account Types
- Creator Account: For influencers, content creators, and artists seeking brand collaborations.
- Brand Account: For businesses, agencies, and marketing teams seeking creator partnerships.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use or security breach at Mycollabcircle@gmail.com.
3.4 Verification
We may require identity verification for certain account features. Providing false or misleading information during verification is grounds for immediate account termination.
MyCollabCircle provides a technology platform that facilitates connections between creators and brands. Our services include:
- AI-powered creator-brand matching and discovery.
- Messaging and collaboration tools.
- Campaign creation, management, and tracking.
- Content review and approval workflows.
- Payment processing and escrow services.
- Analytics and performance reporting.
MyCollabCircle acts as an intermediary platform. We do not employ creators, nor do we control the content they produce. Collaborations are agreements between creators and brands, facilitated by our platform.
5. Creator-Specific Terms
5.1 Profile Accuracy
Creators must maintain accurate profile information, including but not limited to follower counts, engagement rates, audience demographics, and portfolio samples. Misrepresentation of metrics is a violation of these Terms.
5.2 Content Obligations
When accepting a collaboration, creators agree to:
- Deliver content according to the agreed-upon campaign brief and timeline.
- Comply with applicable advertising disclosure regulations (including ASCI guidelines in India).
- Not engage in fraudulent engagement practices (buying followers, fake likes, bot activity).
- Maintain professional communication with brand partners.
5.3 Exclusivity
Unless otherwise specified in a campaign agreement, creators are not exclusive to any single brand through our platform.
6. Brand-Specific Terms
6.1 Campaign Requirements
Brands must provide clear, complete, and accurate campaign briefs including deliverables, timelines, compensation terms, and usage rights.
6.2 Payment Obligations
Brands agree to fund campaigns as agreed and release payments upon satisfactory delivery of content per the approved campaign brief.
6.3 Content Usage
Content usage rights are limited to what is explicitly agreed upon in the campaign brief. Any additional usage requires separate negotiation and creator consent.
7. Payments, Fees & Subscriptions
7.1 Subscription Plans
Access to certain features requires a paid subscription. Subscription details, pricing, and features are described on our Pricing page. All prices are listed in Indian Rupees (INR) unless otherwise specified.
7.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan.
- You authorise us to charge your designated payment method for recurring subscription fees.
- Prices are subject to change with 30 days' advance notice.
7.3 Platform Commission
MyCollabCircle may charge a commission on transactions facilitated through the platform. Commission rates are disclosed prior to campaign confirmation.
7.4 Refund Policy
- Subscription fees are non-refundable except as required by applicable law.
- Campaign payment disputes will be handled through our dispute resolution process.
- Refund requests must be submitted within 14 days of the charge.
7.5 Taxes
You are responsible for all applicable taxes (including GST) associated with your use of the Service. We may collect and remit taxes where required by law.
8. User Content
8.1 Ownership
You retain ownership of all content you submit, upload, or create through the Service ("User Content"). By submitting User Content, you grant MyCollabCircle a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your User Content solely for the purpose of operating and promoting the Service.
8.2 Content Standards
User Content must not:
- Violate any applicable law, regulation, or third-party rights.
- Contain defamatory, obscene, hateful, or discriminatory material.
- Include malware, spam, or deceptive content.
- Infringe on intellectual property rights of others.
- Contain false or misleading information.
8.3 Content Moderation
We reserve the right to review, modify, or remove any User Content that violates these Terms without prior notice.
9. Intellectual Property
The Service, including its design, features, functionality, code, trademarks, logos, and proprietary technology, is owned by MyCollabCircle and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary content without explicit written permission.
10. Prohibited Conduct
You agree not to:
- Use the Service for any illegal or unauthorised purpose.
- Impersonate another person or entity.
- Interfere with or disrupt the Service or servers.
- Attempt to gain unauthorised access to any part of the Service.
- Scrape, mine, or extract data from the Service without permission.
- Circumvent any security measures or access controls.
- Use the Service to send unsolicited communications or spam.
- Manipulate engagement metrics or platform algorithms.
- Engage in anti-competitive behaviour on the platform.
- Transfer your account to another person without our consent.
11. Termination
11.1 Termination by You
You may close your account at any time through your account settings or by contacting us. Cancellation of paid subscriptions takes effect at the end of the current billing period.
11.2 Termination by Us
We may suspend or terminate your account at any time, with or without cause, including but not limited to violation of these Terms, fraudulent activity, or extended inactivity.
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and dispute resolution) shall continue in effect.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free.
- Results obtained through the Service will be accurate or reliable.
- Any defects in the Service will be corrected.
- Any particular outcome will result from using the Service.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYCOLLABCIRCLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claim arising from or related to the Service shall not exceed the total amount of fees paid by you to MyCollabCircle during the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless MyCollabCircle, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
15.2 Arbitration
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat of arbitration shall be New Delhi, India.
15.3 Jurisdiction
Subject to the arbitration provision above, the courts of New Delhi, India shall have exclusive jurisdiction over any legal proceedings arising from these Terms.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MyCollabCircle.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any right or provision does not constitute a waiver of future enforcement.
- Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
- Force Majeure: We shall not be liable for any failure caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
